If you have any questions about these terms, please contact us at ceo@australianstandardfrozenfoods.online.
2. Scope of Services
The specific services we provide to you will be set out in a written proposal, engagement letter or quotation agreed between the parties. Any work performed outside that agreed scope may be subject to additional fees, which will be discussed and agreed with you before the work is undertaken.
3. Quotations and Fees
Quotations provided by Australian Standard Frozen Foods Pty Ltd are valid for 30 days from the date of issue unless otherwise stated. Fees are expressed in Australian dollars and are exclusive of GST unless otherwise indicated. Where a quotation is indicative rather than fixed, we will advise you promptly of any likely variation.
4. Invoices and Payment
Invoices are payable within 14 days of the date of issue unless alternative payment terms are agreed in writing. Late payments may attract interest and reasonable recovery costs. If you dispute an invoice, you must notify us in writing within 7 days of receipt so the matter can be reviewed and resolved promptly.
5. Client Responsibilities
To enable us to deliver our services effectively, you agree to provide accurate, complete and timely information, reasonable access to relevant personnel and records, and prompt feedback on drafts and deliverables. Delays caused by missing or late information may affect delivery timelines and fees.
6. Delivery and Timeframes
We will use reasonable commercial efforts to meet agreed timeframes. Timeframes are estimates only and may be affected by factors outside our control. Where a delay is likely, we will inform you as soon as practicable and agree a revised schedule.
7. Intellectual Property
All pre-existing intellectual property, including methodologies, templates, frameworks and know-how, remains the property of Australian Standard Frozen Foods Pty Ltd. Upon full payment of our fees, you receive a licence to use the final deliverables prepared specifically for your business for your own internal purposes. Deliverables may not be resold or republished without our written consent.
8. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with an engagement, and to use that information only for the purposes of the engagement. This obligation survives the completion or termination of the engagement.
9. Limitation of Liability
Our advice and deliverables are prepared for your business based on the information you provide. To the extent permitted by law, we are not liable for any indirect, incidental or consequential loss, loss of profit or loss of data arising from the services. Nothing in these terms excludes, restricts or modifies any rights you have under the Australian Consumer Law.
10. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). You are entitled to a replacement or refund for services that are not of acceptable quality, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have services rectified or, where the failure is of a certain kind, to cancel the engagement and receive a refund for the residual value of the services not yet performed.
11. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, you agree to pay for all services performed and expenses incurred up to the date of termination. Clauses relating to confidentiality, intellectual property and liability survive termination.
12. Privacy
Our collection, use and handling of personal information is described in our Privacy Policy. The Privacy Policy forms part of these Terms of Service.
13. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve it through good-faith discussion. If the dispute is not resolved within 30 days, the parties may agree to mediation before commencing court proceedings. These terms are governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of the courts of Victoria.
14. Amendments
We may update these Terms of Service from time to time. The current version will always be published on this page with the date of the most recent revision noted below. Continued use of our services after an update constitutes acceptance of the revised terms.
